TERMS OF SERVICE

IMPORTANT: THIS AGREEMENT INCLUDES A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER (SEE SECTION 19). BY USING THE SERVICE, YOU AGREE TO THOSE TERMS.

Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("you," "user," "buyer," or "seller") and Tradia ("Tradia," "we," "our," or "us"). These Terms apply to your access to and use of the Tradia website, mobile application, and related products, tools, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you represent and warrant that you:

  • Are at least 18 years old (or the age of legal majority in your location), or have the consent and supervision of a parent or legal guardian who accepts these Terms on your behalf
  • Have the authority and capacity to enter into these Terms
  • Agree to comply with all applicable laws and regulations (including those governing vehicle sales, title transfer, taxes, and consumer protection)
  • Agree to our Privacy Policy
  • Agree to resolve certain disputes through binding individual arbitration and not as part of a class action or representative proceeding, as described in Section 19

If you do not agree to these Terms, do not use the Service.

Description of the Service

Tradia is an online marketplace platform. We provide tools that allow users to list, discover, communicate about, and arrange transactions for goods, including vehicles, vehicle parts, electronics, and other items.

We are not a dealership, broker, insurer, escrow agent, payment processor, or legal advisor. We do not take title to items, do not guarantee condition, do not inspect physical goods, and are not a party to any transaction between users.

Any negotiation, payment, pickup, delivery, title transfer, bill of sale, tax handling, and after-sale dispute happens directly between the buyer and the seller. You use the Service at your own risk.

User Accounts

To access certain features, you must create an account. You agree to:

  • Provide true, accurate, and complete information
  • Keep your account credentials secure
  • Not share your account or let others act as you
  • Notify us immediately of any unauthorized access or suspected breach

You are responsible for all activity that occurs under your account.

We reserve the right to refuse, suspend, reclaim, or remove any username or account, at our discretion, for violations of these Terms, suspected fraud, impersonation, or other misuse.

Acceptable Use / Community Rules

You agree that you will NOT use the Service to:

  • List, sell, or request illegal, stolen, counterfeit, unsafe, or prohibited items
  • Sell or request weapons, ammunition, explosives, drugs, or other restricted/regulated items that cannot legally be sold person-to-person
  • Post false, misleading, or deceptive listings
  • Misrepresent the condition, ownership, title status, accident history, odometer reading, lien status, or functionality of a vehicle or other item
  • Engage in harassment, threats, stalking, doxxing, hate speech, or abusive conduct
  • Send spam, scams, phishing attempts, or fraudulent offers
  • Upload malware or attempt to interfere with or disrupt the Service
  • Collect or harvest information about other users for abusive, commercial, or competitive purposes
  • Bypass, test, or probe our security measures or reverse engineer any part of the Service
  • Impersonate another person or entity, including pretending to be a private seller if you are in fact a dealer or commercial seller

We may, in our discretion, remove listings, restrict visibility, or suspend or terminate accounts that violate these rules or that create risk for other users or for Tradia.

Listing Requirements

When you create a listing (including vehicle listings), you agree that:

  • You are the lawful owner of the item or have full legal authority to sell it
  • The item is accurately described, including known defects or issues that a reasonable buyer would consider important
  • Photos and media are yours to share, or you have permission to use them
  • The price is clear and in good faith
  • You will comply with any category-specific, legal, or regulatory requirements (for example, including required disclosures for vehicles in your jurisdiction)

If you are a dealer, salvage reseller, dismantler, auto broker, or any commercial seller of vehicles or parts, you must clearly disclose that status in your profile and listings and comply with all applicable dealer and advertising laws. You are solely responsible for understanding and obeying those laws.

Prohibited and Restricted Items

The following items (among others we may identify in published policies or future updates) are not allowed on the Service:

  • Illegal drugs or controlled substances
  • Weapons, ammunition, explosives, or related components
  • Stolen goods, counterfeit goods, or goods that infringe intellectual property rights
  • Adult services or sexually explicit content
  • Live animals (unless explicitly allowed in a dedicated permitted category, if any)
  • Hazardous materials (including recalled products or items that cannot legally be sold secondhand)
  • Items that require a license, certification, or special transfer process when you do not have (and cannot prove) that permission
  • Any item whose sale would violate applicable law

We may remove or limit access to any listing we believe violates this Section or creates safety, legal, or reputational risk.

Communication Between Users

The Service may enable direct messaging between users. You agree to use these messaging features only for legitimate buyer/seller negotiation and not for harassment, spam, fraud, or off-platform solicitation that violates these Terms.

We may use automated systems and/or human review to monitor, flag, or moderate messages for safety, fraud prevention, and policy enforcement. We do not guarantee we will review all messages.

Payments, Transactions, and Taxes

Unless explicitly stated otherwise in the product, Tradia does not act as an escrow agent, payment processor, guarantor, broker, insurer, or delivery service.

Buyers and sellers are solely responsible for:

  • Payment method and timing
  • Transfer of possession/title
  • Bills of sale and paperwork
  • Any financing, liens, insurance, warranties, taxes, registration, or fees required by applicable law

You are solely responsible for reporting and paying any taxes, fees, or regulatory costs arising from your transactions, including sales tax, use tax, title fees, and registration fees where applicable.

We strongly encourage in-person inspection and safe meetups in public, well-lit locations. Use judgment and take appropriate safety precautions.

Content, Licensing, and IP

9.1 Your Content

"Your Content" means any text, photos, images, videos, vehicle specs, descriptions, condition notes, offers, messages, ratings, or other material you submit, upload, or otherwise make available through the Service.

You retain ownership of Your Content. However, you grant Tradia a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for example, to reformat or generate previews), adapt, translate, publish, publicly display, publicly perform, distribute, and otherwise use Your Content in connection with operating, marketing, improving, and providing the Service. This license continues for as long as Your Content is available on the Service and for a commercially reasonable period thereafter for backup, audit, dispute resolution, legal compliance, and enforcement purposes.

You represent and warrant that:

  • You own or have all rights necessary to post Your Content and to grant the above license
  • Your Content is accurate, not misleading, and does not violate any law or third-party rights
  • Your Content (including AI-assisted content you choose to publish) will not omit material facts in a way that would mislead a reasonable buyer

We may remove or edit Your Content, in whole or in part, for any reason, including suspected fraud, safety risk, illegality, or Terms violations. We are not obligated to do so.

9.2 Our IP

The Service (including our trademarks, logos, layout, design, features, and software) is owned by or licensed to Tradia and is protected by intellectual property and other laws. You may not copy, distribute, sell, reverse engineer, or create derivative works from the Service, except as allowed by law.

Privacy

Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms.

By using the Service, you agree that we may process your information as described in the Privacy Policy, including the use of automated systems, AI, and fraud detection tools.

AI-Generated and Automated Content

Tradia may offer optional AI tools to help generate or enhance listing descriptions, categorize items, summarize features, suggest pricing ranges, and assist with search and discovery.

You acknowledge and agree that:

  • AI output may be incomplete, outdated, inaccurate, speculative, or misleading
  • AI output is not fact-checked, inspected, or guaranteed by Tradia
  • AI output does not replace your duty as a seller to disclose all known material information (for example, accident history, known mechanical defects, salvage/branded title status, or lien/loan obligations on a vehicle)
  • Buyers must NOT rely solely on AI-generated summaries, condition assessments, recommendations, or "estimated value" ranges. Buyers must independently verify condition, title status, mileage, safety, and legality before purchase
  • Only the seller, not Tradia, is responsible for the accuracy and completeness of listing information

By using the Service, you release Tradia from, and waive any and all claims arising out of, AI-generated content, including alleged misstatements, omissions, or inaccuracies in AI-assisted listings, recommendations, categorizations, or messages.

Safety and Fraud

We use a combination of automated systems, pattern analysis, and community reporting to identify suspicious behavior and policy violations. You understand and agree that:

  • We do not and cannot manually review every user, message, or listing
  • We may remove or limit content, restrict features, or suspend accounts to protect users and the platform
  • We may share information with law enforcement or other parties if we believe it is necessary for safety, fraud prevention, or legal compliance

However, we cannot guarantee the identity of any user, the truthfulness or legality of any listing, or the outcome of any transaction. You are solely responsible for your own safety and due diligence.

Suspension and Termination

We may, at our sole discretion and without prior notice, suspend, limit, or terminate your access to the Service (including removing listings or disabling your account) if we believe you have violated these Terms, created risk or possible legal exposure for us or other users, or engaged in fraud, abuse, or other inappropriate conduct.

You may stop using the Service at any time and may request that we delete your account. Certain terms (for example, Sections 11, 15, 16, 18, 19, and 20) will survive termination.

Changes to the Service and to These Terms

We may update, modify, or discontinue any part of the Service at any time, including adding or removing features, imposing limits, or charging fees for certain features in the future.

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top. In some cases we may provide additional notice (for example, by email or in-app message). Your continued use of the Service after updated Terms are posted means you accept the updated Terms.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

Without limiting the above:

  • We do not guarantee that any listing is accurate, complete, legitimate, available, fairly priced, safe, or free of defects
  • We do not guarantee that a vehicle has a clean title, accurate mileage, no liens, or is roadworthy or legal to operate
  • We do not guarantee uninterrupted or secure access to the Service

Some jurisdictions do not allow certain warranty disclaimers. If those laws apply to you, some or all of the above disclaimers may not apply, and you may have additional rights.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADIA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, VEHICLE DAMAGE, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY TRANSACTION WITH ANOTHER USER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow limitations of liability for personal injury or for certain types of damages. If those laws apply to you, some of the above limitations may not apply.

Indemnification

You agree to indemnify, defend, and hold harmless Tradia and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with:

  • Your use of the Service
  • Your listings, content, or communications
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any transaction, meeting, payment, dispute, or incident between you and another user

Disputes Between Users

If you have a dispute with another user (for example, about an item's condition, payment, fraud, delivery, title, or safety), you agree that Tradia is not responsible for that dispute. You release Tradia from all claims, demands, and damages of every kind and nature, known and unknown, arising out of or connected with such disputes.

If you are a California resident, you expressly waive California Civil Code § 1542 (and any similar statute or doctrine in any other jurisdiction), which says that a general release does not extend to claims you do not know or suspect to exist at the time of release.

Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

19.1 Agreement to Arbitrate

Except for the limited exceptions in Section 19.4 below, you and Tradia agree that any dispute, claim, or controversy—whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory—arising out of or relating to (a) these Terms, (b) the Service, or (c) any transaction or interaction between you and Tradia, will be resolved exclusively through final and binding individual arbitration, not in court.

This means that you and Tradia are each waiving the right to sue in court (except for small claims court as described below) and the right to a jury trial.

19.2 Governing Rules and Process

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Section 19. If AAA is unavailable, the parties will select a comparable alternative arbitration provider. The arbitration will take place in the U.S. county (or parish) where you live, or another location we both agree on. For claims under $10,000, you may choose to have the arbitration conducted by telephone, video, or based solely on written submissions.

19.3 Class Action Waiver / No Representative Actions

YOU AND TRADIA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Unless both you and Tradia agree otherwise, the arbitrator may not consolidate or join the claims of more than one person or preside over any form of a class, collective, consolidated, private attorney general, or representative proceeding.

You and Tradia also waive the right to a jury trial.

19.4 Exceptions

This arbitration agreement does not require arbitration of:

  • Individual claims that qualify for and are filed in small claims court;
  • Claims seeking injunctive or equitable relief for alleged intellectual property infringement or misuse of confidential information;
  • Claims that cannot be arbitrated as a matter of law.

19.5 Severability

If any part of this Section 19 is determined to be invalid or unenforceable as to a particular claim, then (i) only that part shall be severed and the rest shall remain in force, except that (ii) if the Class Action Waiver in Section 19.3 is found unenforceable, the entirety of this Section 19 (except this sentence) will be null and void as to that claim.

This Section 19 survives termination of your account and termination of these Terms.

Governing Law

Except to the extent preempted by federal law (including the Federal Arbitration Act), these Terms and any dispute between you and Tradia will be governed by the laws of the State in which Tradia is incorporated, without regard to conflict of law principles.

Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
